Gold, Inc. (Goldbug) invites you to submit your ideas to be considered as future Goldbug products. We are looking for new, original, and creative ideas, so send us your best!
The guidelines on this page explain how the idea submission process works and what is acceptable for an entry. Entries that do not adhere to these guidelines will not be used, and by submitting an idea, you agree to abide by these terms.
Authorization to Use Entrant’s Information & Name
By submitting an idea, you agree that Goldbug and its designees may use your name and any information provided by you, in any media now known or hereafter developed for promotional and/or publicity purposes, unless prohibited by law. You also agree to participate in and cooperate with any promotional activity and/or publicity relating to the idea submission as we may reasonably request from time to time.
Your name may be posted on Goldbug’s website, social media areas and in Goldbug’s printed material for up to two years.
Release of Liability
By participating, you release Goldbug and its subsidiaries, Co-Sponsors, affiliates, partners, employees, directors, agents, advertising agencies, and all others associated with the development and execution of this idea submission, from and against any and all injury, loss or damage caused or claimed to be caused by your submission of an idea and you agree that these entities are in no way responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the idea submission.
You also agree to hold harmless Goldbug, its officers, directors, employees, divisions, affiliates, subsidiaries, and advertising and promotional agencies, from any claim by any third party relating to any rights in the idea you submitted.
Representations and Warranties
By submitting an idea, you warrant and represent that (a) you are the creator and sole owner of your idea (and free of any adverse claim by any person, firm, or corporation), you agree that you will not upload images that belong to someone else as a part of your project, even if that person gives you permission; (b) you must be legally able to enter into a contract with us in case we decide to commercialize your idea. This means that you must be at least 18 years of age to submit an idea; (c) the idea is not obscene or libelous, and does not violate any rights of any third party, including but not limited to rights of privacy or publicity; (d) the idea does not target anyone because of his or her membership in a certain social group, including race, gender, color, religion, belief, sexual orientation, disability, ethnicity, nationality, age, gender identity, or political affiliation; (e) idea does not contain any virus, spyware, malware, trap door, worm, or any other device, mechanism, or code that is injurious or damaging to software or hardware used in conjunction with the idea; (f) the idea will not violate any federal, state or local laws or ordinances; (g) no employer or educational or other establishment has any rights in the idea; and (h)you have the right to grant to Goldbug and its designees the license granted below.
Intellectual Property
By submitting your entry you:
- Acknowledge that if your idea is accepted by Goldbug, you and Goldbug will negotiate in good faith a reasonable royalty arrangement. If these negotiations are successful, you will grant Goldbug an irrevocable, perpetual, world-wide, license to copy, excerpt, edit and repurpose all materials submitted in your idea and to use, re-use, publish, re-publish and otherwise exploit your idea in whole or in part, individually or in conjunction with our products or services;
- agree to sign any necessary documentation that we may require to make use of the rights you granted above;
- understand and acknowledge that Goldbug may have developed or commissioned materials similar or identical to your idea and you waive any claims you may have resulting from any similarities to your idea;
- understand that you are responsible for getting your own legal advice prior to submitting your idea; and
- understand that Goldbug may decline to pursue your idea in its sole discretion.
If you do not want to grant us these rights to your entry, please do not submit an idea.
Disclaimers
Goldbug is not responsible for lost, late, misdirected, damaged, garbled or illegible submissions of ideas or any injury or damage to your or any other person’s computer related to or resulting from submitting an idea. Goldbug is under no obligation to return any materials given to Goldbug by you.
Goldbug reserves the right to disqualify any unauthorized submissions of ideas, including, any ideas submitted through robotic, automatic, mechanical, programmed or similar multiple-entry, or entry/vote duplication.
Disputes
Any disputes relating in any way to the submission of an idea shall be submitted to binding arbitration in accordance with the commercial rules of the American Arbitration Association then in effect. The arbitration will be governed exclusively by the laws of the State of Colorado, USA, without regard to principles of conflicts of laws. The arbitrator’s award may be enforced by courts sitting in Denver Colorado and the parties irrevocably submit to the jurisdiction of those courts. By participating, you agree that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the submission, will be resolved individually without resort to any form of class action; and (ii) under no circumstances will you be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses. If you do not agree with this provision please do not submit an idea.
